The Service provides AI-powered after-hours call answering, intake, classification, and notification features. We do not guarantee the accuracy, completeness, reliability, or suitability of any call handling, classification, transcription, or summary. The Service is intended to assist your business operations and is not a substitute for your own judgment, compliance, or professional advice. You are solely responsible for all decisions and actions taken in reliance on or in connection with the Service.

3. Account and Registration

You must provide accurate and complete registration information and keep your account credentials secure. You are responsible for all activity under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or that we deem harmful to the Service or others.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and all applicable laws and regulations. You may not: (a) use the Service in any way that infringes the rights of others or violates any law; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems; (c) interfere with or disrupt the Service or its infrastructure; (d) use the Service to transmit harmful, offensive, or illegal content; or (e) resell or sublicense the Service without our prior written consent. You are solely responsible for ensuring that your use of the Service, including call forwarding, recording, and handling of caller data, complies with applicable laws (including telephony, privacy, and recording consent laws) in your jurisdiction.

5. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CALL TRANSCRIPTION, CLASSIFICATION, SUMMARY, OR NOTIFICATION. YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOX-24, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR FOR ANY COST OF COVER OR SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS EXCEED THE GREATER OF (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7. Indemnification

You agree to indemnify, defend, and hold harmless Vox-24 and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or any applicable law; (c) your violation of any third-party right; (d) any content, data, or communications you submit or that are submitted through your account; or (e) any dispute between you and a caller, customer, or third party in connection with calls or services handled through or in connection with the Service. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

8. Automated Call Handling; No Reliance

Call answering, intake, classification, and summarization are performed using automated systems, including artificial intelligence. Such systems may make errors, misclassify urgency, or fail to capture or convey information accurately. We do not guarantee the accuracy, completeness, or timeliness of any transcription, classification, or summary. You are solely responsible for your business decisions, follow-up with callers, compliance with applicable laws (including those governing recording and consent), and any harm or loss resulting from reliance on the Service. We shall have no liability for any such errors, omissions, or your reliance thereon.

9. Availability and Modifications

We do not guarantee that the Service will be available at all times. We may modify, suspend, or discontinue the Service or any part thereof, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including without limitation Sections 5, 6, 7, 11, and 12) shall survive termination.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of such courts. You waive any objection to venue in such courts. TO THE EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

12. General

Entire agreement: These Terms, together with our Privacy Policy and any order or agreement referencing these Terms, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Changes: We may modify these Terms at any time. We will post the revised Terms on this page and update the "Last updated" date. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
